Emergency Management Alliance LLC – Terms of Use Agreement (Version 1.0 – Effective January, 1, 2026)
1. Introduction and Acceptance
Welcome to the Emergency Management Alliance LLC (“EMA”) digital learning platform. By enrolling in a course, accessing content, or using any EMA online training materials, you acknowledge that you have read, understood, and agreed to these Terms of Use. If you do not agree, you may not access or participate in EMA’s digital training programs.
2. Purpose of the Agreement
These Terms of Use Agreement govern your access to and use of EMA’s digital training programs, including on-demand courses in emergency patient decontamination operations, hospital-based incident command systems, evacuation, and all-hazards planning. The purpose of this agreement is to protect EMA’s proprietary materials, ensure appropriate user conduct, and establish clear rights and responsibilities for both EMA and users.
3. Definitions
“EMA” refers to Emergency Management Alliance LLC, its affiliates, employees, and agents.
“User” or “Student” refers to any person who accesses or uses EMA’s training platform.
“Platform” refers to EMA’s online learning management system and associated digital infrastructure.
“Course Materials” include videos, manuals, lectures, quizzes, exercises, and other resources created by EMA.
“Confidential Information” means non-public information shared through the platform, including participant data or protected training materials.
4. User Obligations and Acceptable Use
Users agree to access EMA content only for personal, educational, or professional development purposes; maintain the confidentiality of login credentials; not reproduce or distribute EMA content without authorization; and refrain from activities that disrupt the platform or infringe on the rights of others.
5. User Accounts and Content Ownership
Users are responsible for maintaining the confidentiality of their accounts and passwords. EMA reserves the right to suspend or terminate accounts involved in unauthorized or abusive activity. Any content submitted by users remains the user’s intellectual property; however, by submitting such content, users grant EMA a non-exclusive license to use it for educational and quality improvement purposes.
6. Course Details
Each EMA course will specify title, description, schedule, cost, included materials, and certification eligibility. EMA reserves the right to modify course content, structure, or delivery format as needed.
7. Payment and Cancellation
Payment terms, including fees and refund policies, will be published with each course. Refunds or cancellations must comply with the course’s policy. For cancellation requests, contact [Insert contact email].
8. License and Access Rights
EMA grants enrolled users a limited, non-exclusive, non-transferable license to access and use course materials solely for personal learning. Unauthorized downloading or redistribution is prohibited.
9. Intellectual Property
All EMA training materials are the intellectual property of Emergency Management Alliance LLC and are protected by U.S. copyright and trademark law. Unauthorized reproduction or dissemination is prohibited.
10. Conduct and Use
EMA expects all users to conduct themselves professionally and respectfully. Harassment or disruptive behavior will result in termination of access without refund.
11. Confidentiality
EMA and users agree to maintain confidentiality of proprietary, medical, or personal information shared during training. EMA will not disclose user data except as required by law.
12. Disclaimers and Limitations of Liability
EMA provides its courses “as is” and makes no warranties regarding completeness, accuracy, or fitness for a particular purpose. EMA shall not be liable for any damages resulting from participation or reliance on EMA training materials.
13. Termination
EMA reserves the right to terminate user access for violation of these Terms or misuse of resources. Upon termination, users must cease using and delete all EMA materials in their possession.
14. Governing Law and Dispute Resolution
This Agreement shall be governed by and construed under the laws of the State of Florida. Any dispute shall be resolved through binding arbitration in Palm Beach County, Florida, under the rules of the American Arbitration Association.
15. Changes and Notifications
EMA may update these Terms periodically. Users will be notified of changes via the platform or email. Continued use constitutes acceptance of revised Terms.
